Terms of Service

These Terms of Service ("Terms") govern your access to and use of the MemberMe platform and any related services (collectively, the "Service") provided by Jeremy Leff ("MemberMe," "we," "us," or "our"). By creating an account or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Service Overview

MemberMe is a SaaS platform that assists organizations with membership management, event tracking, and account-based communications. The Service is made available via web application at memberme.app and any associated APIs or integrations.

We may update, add, or remove features at any time. We will endeavor to provide reasonable notice for material changes that affect existing functionality.

2. Eligibility

You must be at least 18 years of age and able to form a legally binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements and that the information you provide is accurate and complete.

3. Accounts

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. Notify us immediately at hello@memberme.app if you suspect unauthorized access or a security breach.

You may not share, sell, or transfer your account to another party without our prior written consent.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

5. SMS Notifications

If you opt in to SMS notifications, your use of that feature is governed by our SMS Program Terms, which are incorporated into these Terms by reference. SMS is used exclusively for transactional and account-related notifications. No marketing SMS messages are sent.

6. Intellectual Property

All content, trademarks, logos, and software comprising the Service are the property of MemberMe or its licensors. Nothing in these Terms grants you any right to use our intellectual property except as needed to use the Service for its intended purpose.

You retain ownership of all data and content you upload or create within the Service ("Your Content"). By using the Service, you grant us a limited, non-exclusive license to store, process, and transmit Your Content as necessary to provide and improve the Service.

7. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and share your information.

8. Third-Party Services

The Service may integrate with or rely on third-party services (e.g., payment processors, SMS delivery providers). Your use of those third-party services is subject to their respective terms and privacy policies. We are not responsible for the practices of third-party providers.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MEMBERME DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. You use the Service at your own risk.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MEMBERME, ITS OWNER, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR REVENUE — ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN JURISDICTIONS THAT DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CERTAIN DAMAGES, OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (a) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (b) ONE HUNDRED US DOLLARS ($100).

11. Indemnification

You agree to indemnify, defend, and hold harmless MemberMe and its owner from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Service, (b) your violation of these Terms, or (c) your violation of any third-party rights.

12. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict-of-law provisions. Any dispute arising under or related to these Terms shall be resolved in the state or federal courts located in Georgia, and you consent to the personal jurisdiction of those courts.

13. Modifications to the Terms

We reserve the right to update these Terms at any time. When we do, we will revise the effective date above. For material changes, we will provide advance notice via email or a prominent notice within the Service. Your continued use of the Service after any change constitutes your acceptance of the revised Terms.

14. Termination

You may stop using the Service and close your account at any time. We reserve the right to suspend or terminate your account and access to the Service at our discretion, with or without cause and with or without notice, particularly in cases of violation of these Terms.

Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including limitations of liability, indemnification, and governing law) will survive.
